Terms of Service & End-User License Agreement

These terms (the "Agreement") govern your purchase and use of Quill, a desktop finance application published by Visioneers Studio ("we", "us", "our"). By installing, activating, or using Quill, you agree to this Agreement. If you do not agree, do not install or use the app.

1. The parties - and Polar's role

Quill is created and licensed by Visioneers Studio. Payments are handled by our Merchant of Record, Polar Software, Inc. ("Polar"). This means that when you buy Quill, your payment transaction is concluded with Polar, who resells the license to you on our behalf and is responsible for billing, sales tax / VAT / GST, and processing refunds and chargebacks. Your purchase at checkout is therefore also subject to Polar's buyer terms. Your license to use the software, however, is granted by us and is governed by this Agreement.

2. License grant

Subject to your payment of the applicable one-time fee and your compliance with this Agreement, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to install and use the edition of Quill you purchased (Free, Full, or Business) for your personal or internal business purposes.

• One-time purchase. A paid license is a one-time purchase, not a subscription. There are no recurring charges for the version you bought.
• Devices. Each paid license may be activated on a limited number of devices, as stated for your plan at checkout. You can release a device from within the app (Settings → License) to free a slot and move your license to another computer.
• Free tier. The Free tier may be used at no cost and is governed by the same Agreement, except for provisions that apply only to paid features.

3. What you may not do

You agree not to, and not to permit anyone else to:

• resell, sublicense, rent, lease, or redistribute the software or your license key;
• share your license key publicly or use it beyond your permitted device count;
• reverse engineer, decompile, or disassemble the software, except to the limited extent that applicable law expressly permits despite this restriction;
• remove or alter any proprietary notices, or circumvent the licensing / activation system;
• use the software for any unlawful purpose or in violation of any applicable law.

4. Ownership & intellectual property

Quill is licensed, not sold. All intellectual property rights in the software - including its code, design, name, and branding - remain the exclusive property of Visioneers Studio. This Agreement does not transfer any ownership to you. Your financial data is yours: we claim no ownership of, and (as described in our Privacy Policy) have no access to, the statements, transactions, or other data you process locally in the app.

5. Updates

We may provide updates, bug fixes, and improvements to the version you purchased. The app can check for and install updates automatically. We are not obligated to provide future major versions or new paid features for free, but we will not disable a version you have already lawfully licensed.

6. Not financial, tax, investment, or legal advice

Financial, tax, and similar decisions carry inherent risk, and you are solely responsible for the decisions you make. The optional AI advisor uses automated systems that can be incomplete or inaccurate and may produce errors; its output tends to be least reliable for nuanced, individual situations. Always verify important figures and consult a licensed professional before acting. To the fullest extent permitted by law, Visioneers Studio is not liable for any decision you make, or action you take, in reliance on the software or its output. If you enable the optional AI features, the data you choose to send is processed by the third-party AI provider you select under that provider's terms, as described in our Privacy Policy.

7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the software will be error-free, uninterrupted, or that it will correctly parse every statement format, or that its output will be accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, and you may have statutory rights that this section does not affect.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VISIONEERS STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR YOUR LICENSE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law (such as for death or personal injury caused by negligence, or fraud). Your statutory rights as a consumer are not affected.

9. Your data & privacy

Quill runs on your device, and your financial data stays there. Our handling of the limited data involved in purchasing and activating a license is described in our Privacy Policy, which is incorporated into this Agreement by reference.

10. Refunds

Purchases are subject to our Refund Policy, processed through Polar as Merchant of Record. Your statutory consumer rights, where they apply, are unaffected.

11. Termination

This license lasts until terminated. It terminates automatically if you breach this Agreement - in particular, the restrictions in Section 3. On termination you must stop using the software and remove it from your devices. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, and governing law) will survive termination.

12. Governing law & disputes

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and you and Visioneers Studio submit to the courts located there for any dispute arising from your license to use the software - except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim in your local courts under your local law, in which case those rights apply. Note that your payment transaction with Polar is separately governed by Polar's buyer terms, which include their own dispute-resolution (arbitration) provisions.

13. Changes to these terms

We may update this Agreement from time to time. We will post the revised version here and update the "last updated" date. Material changes will be communicated through the app or website. Your continued use after a change takes effect constitutes acceptance of the revised terms; the terms in force at the time of your purchase govern that purchase.
